The BIS Terms and conditions

These Terms and Conditions (“Agreement”) outline the terms under which Bill's interarcade services “BIS" provides customer acquisition, customer referral, marketing, sales support, lead generation, customer management, and related agency services to clients (Users and registered Businesses).

By engaging the Agency’s services, the Customer agrees to be bound by these terms.

Scope of Services

The Service agrees to provide customer-providing services which may include:

  • Customer acquisition and lead generation
  • Customer referrals and introductions
  • Marketing and promotional support
  • Customer relationship management assistance
  • Business listing and visibility services
  • Sales support activities
  • Campaign execution and reporting

The specific services delivered will depend on the package plan selected by the Customer.


Customer Responsibilities

Intending Client agrees to:

  • Provide accurate business information, materials, and requirements needed for service delivery.
  • Respond promptly to Service requests required for execution.
  • Ensure all information, products, and services provided to customers are accurate and lawful.
  • Maintain professional standards when dealing with customers introduced by the Service.

Service Responsibilities

BIS agrees to:

  • Provide services professionally and within agreed timelines.
  • Use reasonable efforts to generate customer opportunities.
  • Maintain confidentiality of Customer information.

  • The Service does not guarantee a specific number of customers, sales, revenue, or business outcomes unless explicitly stated in a written agreement.



Fees and Payment Terms

The Customer agrees to pay the Service based on the agreed pricing plan.
Payment terms include:

  1. Fees must be paid according to the selected package plan or service agreement.
  2. Payments are non-refundable once services have commenced unless otherwise agreed.
  3. Late payments may result in suspension or termination of service Listing.

Customer Relationship and Ownership

Customers introduced or acquired through the Service's efforts may be subject to agreed partnership, referral, or commission arrangements.

  • The ownership and management of customer relationships shall follow the terms agreed between the Service and Customer.
  • The Customer shall not intentionally bypass the Service to avoid agreed fees or commissions.

  • Confidentiality

    Both parties agree to protect confidential information shared during the relationship. Confidential information includes:

    • Business strategies
    • Customer data
    • Pricing information
    • Marketing plans
    • Internal documents
    • Neither party shall disclose confidential information without prior written approval unless required by law.


    Data Protection and Privacy

    The Service and Customer agree to handle customer information responsibly and comply with applicable data protection regulations.
    Customer information shall only be collected, processed, and used for legitimate business purposes.


    Intellectual Property

    All Service-owned materials, strategies, systems, processes, designs, and content remain the property of the Service unless otherwise agreed.

    The Customer receives limited permission to use approved materials solely for business purposes.


    Limitation of Liability

    The Service shall not be responsible for:

    • Losses caused by inaccurate information provided by the Customer.
    • Customer dissatisfaction resulting from the Customer’s own products or services.
    • Business losses caused by market changes or external factors.
    • The Service's responsibility is limited to providing the agreed services.


    Termination

    Either party may terminate this agreement by providing written notice.
    The service may suspend or terminate services if:

    • Fraudulent practices are noticed.
    • Payments are overdue.
    • The Customer engages in unlawful or unethical practices.

    Dispute Resolution

    Both parties agree to resolve disputes through good-faith discussion.
    If a resolution cannot be reached, disputes may be handled through mediation, arbitration, or applicable legal processes.


    Changes to Terms

    The Service reserves the right to update these Terms and Conditions when necessary. Customers will be informed of significant changes affecting their services.
